We’re seeking an Assistant General Counsel to join our dynamic team in Jacksonville, Florida. This 100% onsite role (flexible after 90days) offers the chance to provide strategic legal guidance on high-stakes business matters, including corporate filings, mergers and acquisitions, financial transactions, and contract disputes. About the Role:
As Assistant General Counsel, you’ll take charge of critical legal functions, collaborating closely with leadership and external stakeholders to protect and guide the organization. This includes managing corporate SEC filings, supporting mergers and acquisitions, negotiating contracts, and advising on financial transactions. Here’s your chance to be a trusted advisor at the intersection of legal and business strategy.
Key Responsibilities:
✔ Corporate Compliance: Ensure timely and accurate corporate filings while adhering to regulatory standards (Source: Robert Half insights).
✔ Mergers & Acquisitions: Provide legal counsel on due diligence, transaction structuring, and risk management during M&A activities.
✔ Contract Disputes & Negotiations: Draft, review, and negotiate commercial contracts that align with company goals.
✔ Financial Transactions: Support transactional processes, including loan agreements and securities compliance matters.
✔ Strategic Guidance: Partner with leadership to offer proactive legal advisement on business initiatives, mitigating risk across operational areas.
✔ Legal Expertise: Stay ahead of changes in corporate/commercial law to provide timely and informed counsel.
Qualifications:
✅ A minimum of 8-15 years of experience in commercial contracts, corporate law, and related legal functions.
✅ Active licensed attorney membership with good standing.
✅ Extensive knowledge in contract drafting, negotiation, and dispute resolution.
✅ Proven success managing M&A and financial transactions.
✅ Strong interpersonal communication and relationship-building skills.
✅ Experience from both law firm and corporate settings preferred.
✅ Exceptional analytical and problem-solving ability in fast-paced environments.
